AGM Agenda – DRAFT-2

 

SPECIAL NOTICE TO MEMBERS

At the December 11th Board meeting of the Directors of the Circle for Aboriginal Relations (CFAR) Society, Board members voted unanimously to put forward a special resolution to the members of the Society at the January 20th AGM (to be held online) to voluntarily dissolve the organization. Members of the Society will be asked to vote on a special resolution to empower the board to seek dissolution of the society from the registry as soon as it is practical. Please see the included excerpts from the Societies Act of Alberta and from CFAR’s bylaws for more information (thank you Lorne).

Know that this decision was not made lightly. Suffice it to say that CFAR has never fully recovered from economic and social impacts that began long before the pandemic, and that continue to this day. We have accomplished so much in our years together, and we owe so much gratitude to our CFAR family; our sponsors, members, volunteers, speakers, workshop leaders, elders, helpers, and team members as well as our ICIR/ICE colleagues at Yellowhead Tribal College and the University of Alberta Faculty of Extension; past and present.

 

Dissolution of Circle for Aboriginal Relations Society
Societies Act of Alberta

34 – To surrender a certificate of incorporation;

  *   Call a meeting for special resolution to discuss.
     *   1 (d) Special resolution – resolutions passed at special or general meetings
        *    not less than 21 days notice specifying the intent  of the resolution
        *   75% of those members entitled to vote support the resolution
  *   Address all debts and liabilities (Part 17 of the Alberta Business Corporations Act regarding winding up applies.)
     *   211- Voluntary Dissolution
     *   Special resolution (members) to authorize the directors to distribute all property and discharge liabilities. After completed apply to the Registrar with articles of dissolution.  If satisfied, the Registrar issues a certificate of dissolution.
  *   Apply to the Registrar to dissolve the incorporation.
     *   28 file special resolution with the Registrar and await a determination
  *   213 – If in default (for example failure to file an annual report) for a year, the Registrar may dissolve the Society.

 

CFAR Bylaw Provisions

5.10 – Require 40% of the Directors to have Quorum at a regular meeting
10.2 – The President or Secretary calls a special meeting upon receipt of a petition signed by a majority of members in good standing who call such a meeting.
10.5 – Notice to members must be provided no less than 10 days before the meeting.
10.6 – Quorum for the meeting of members is 4%
18 – Distribution. Upon the dissolution of the Society, the property of the Society shall be converted into cash and added to the funds of the Society and the amount thereof distributed firstly in payment of all outstanding debts and liabilities of the Society and the balance shall be distributed to a non-profit organization having goals and objectives similar to that of the Society.

 

Steps to Dissolve

  *   Provide at least 21 days notice and place on AGM Agenda – Provide a draft special resolution to cause the directors to liquidate property and discharge all liabilities. Remaining monies to be transferred to a not for profit with similar values/objectives as CFAR.
  *   Hold AGM and pass the special resolution.
     *   Notice
     *   4% for member quorum
     *   75% to vote in favour
  *   Directors dispose of assets and pay all liabilities.  Remainder of value is transferred to not-for-profit.
  *   Obtain the Articles of Dissolution form (under section 211 of the Alberta Business Corporations Act)
  *   Complete forms for Registrar to apply for Dissolution and file request.
  *   Await decision of Registrar.

The conference started with an early morning Pipe Ceremony and a welcome by the local community leadership as is our practice.

Conference – the River Cree Resort – Enoch:

Rachelle Venne from the Institute for the Advancement of Aboriginal Women joined Chief Billy Morin (Enoch Cree Nation) and Elder Irene Morin to open the day’s activities. Speakers and Presenters included Dr. James Makokis related to Conservation and Health; Brian McGuigan (CAPP – Canadian Association of Petroleum Producers) presenting  and hosting a workshop on The Intersectionality of Economic Development and Cultural Conservation; a workshop about the impact of chronic wasting disease, 
Valerie Knaga and George Chalut (Historic Resources Management Branch – Alberta Heritage) addressing Conservation through Archaeology/Historic Resources, Michael Pucci  (DP World) on Economic prosperity – Identity; Environmental and Cultural Conservation; Justin Fontaine providing a legal update related to The Law of Conservation: Transforming Community Relations in the Name of Development and Reconciliation and an Elder and Youth panel focused on Reclamation (Jimmy O’Chiese, Tracey Poitras-Collins, Alita Murowchuk and tbd).
The film evening (6-8ish) included a viewing of Treaty Talks followed by a talkback Q & A with Dr. Pat Makokis and Scott McDougall.

June – Elders and Industry Technicials Technical Conference – Edmonton

Chief Dr. Reg Crowshoe facilitated a two day event at the River Cree at Enoch wherein Elder Technicians from Treaties 6, 7 and 8 were able to gather and exchange stories and ideas with each other, and on the 2nd day with Aboriginal Relations Industry Technicians, for the first time since 1976.

Congratulations on a successful first foray into this important cultural and technical dialogue!

Mixer and AGM Event – November 28, 2013

The CFAR Annual General Meeting was held on November 28, 2013 and featured the music of our friend, Walter McDonald White Bear. The event was held at the beautiful Westin Hotel in downtown Calgary this year.

 

Walter MacDonald White Bear is a Cree singer/songwriter originally from the First Nation of Moose Factory, Ontario. In addition, Walter is an educator, performer and motivational speaker. He is one of CFAR’s regular entertainers, and has been performing acoustic and flute music for several years. Performance highlights (in addition to CFAR events!!) include The Edmonton Folk Music Festival, The Chiefs Summit, The Dream Speakers Festival, The Mountain Song Native Theater, World Indigenous Peoples Conference on Education and more. Walter has been featured as a keynote speaker at various conferences with topics including Social Services, Justice, Education, Wellness and the Environment. His music is a reflection of his personal journey as a First Nations person in Canada. He has shared his cultural knowledge

with various audiences that range from correctional services to principals, teachers and students.

Gala dinner June 6, 2012

Fort McMurray Afterhours Business Mixer – April 19, 2012 at the Sawridge Inn and Conference Centre.

Building upon the success of our previous Fort McMurray Mixers and multiple Calgary Gatherings, CFAR was pleased to host our third afterhours business mixer held at the Sawridge Inn & Convention Centre on April 19, 2012. CFAR, fellow Aboriginal Relations practitioners, local Aboriginal business owners, community members and leaders joined to network and establish new connections over delectable food and drinks (cash bar). This was a casual and open event with no formal program, designed to facilitate professional networking.

All proceeds from this event will go to benefit Chip Child Development Society, an organization whose mission is to provide holistic, positive and challenging learning experiences and opportunities for growth by providing on-going quality programs and services to children, families and staff.
